Membership Agreement
THIS AGREEMENT is made this on the date indicated below by and between the under- signed member ("Member") and Common House, LLC, a Virginia limited liability company ("Manager").
Recitals
A. Manager operates a social club known as Common House on certain real property located at 206 W. Market St in Charlottesville, VA, and 303 W. Broad St in Richmond, VA.
B. Common House will be a membership only club, and members will have exclusive use the Common House meeting facilities and amenities, subject to certain rules and regulations, as may be amended from time to time by Manager (the "Common Law").
C. Manager desires that Member be a member of Common House, and Member desires to join Common House as a member subject to the Common Law. NOW, THEREFORE, in consideration of the mutual promises herein set forth and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Manager and Member agree as follows:
Membership Fees: Member shall pay to Manager the expressed initiation (review Membership Fees) fee within ten (10) business days of submission of this Agreement. On the date of the submission of this Agreement, Member agrees to pay quoted monthly dues. If member has applied to a House that is under construction, then dues will not be charged until the club is open. This membership is not transferrable and initiation fees and monthly dues (collectively the "Membership Fees") are non-refundable. Membership is contingent on timely payment of monthly dues and Manager reserves the right to limit access to any member carrying a balance. From time to time, a portion of membership dues may be diverted to cover food and/or beverage for House-sanctioned events. Members won't notice any difference to dues if/when this happens.
Membership Benefits: As a member of Common House, Member will receive access to and use of the Common House facilities and amenities, as they may be offered from time to time and during those operating hours set by Manager. Manager intends to offer amenities to include a Social Hall, Screening Room, Rooftop Terrace, Library, Podcast Studio, and Co-working Floor. In addition to personal use of the Common Facilities, Member shall be able to bring guests to Common House in accordance with the Common Law.
Common Law: Membership and use of the Common Facilities will be subject to the Common Law. The present terms of the Common Law (review Common Law) are provided herewith and by their signature below, Member acknowledges receipt thereof. The Common Law is subject to change from time to time at the discretion of the Manager. All members will be notified of any revisions to the Common Law and no such revisions will ever cause Member to pay any Membership Fees other than those set forth in paragraph 1, above.
Termination: Member may terminate his/her membership at any time by completing our cancellation survey and providing written notice to Manager.
Members must submit a cancellation survey 30 days in advance of the next billing date. The cancellation survey must be completed in order to fully process the cancellation.
Monthly pause deadline: 30 days before the member's next billing period (for example, if a member wishes to pause for the month of November, notification must be requested by October 1).
Quarterly pause deadlines: Q1: December 1st / Q2: March 1st / Q3: June 1st / Q4: September 1st
Annual pause deadline: 30 days before member’s annual billing date (for example, if a membership starts on August 15, 2023, the member will need to request a pause by July 15, 2024).
Canceling members will retain access to the club until the end of the month and no further membership dues will be placed on the member’s card. Membership Fees due prior to date of cancellation are still owed to Manager and dues already paid are non-refundable.
Members are required to return their parking pass and key promptly within 10 days of cancellation. Failure to do so can result in a $40 charge applied to your account. Members' cards on file will be charged on the 10th day following membership termination, should outstanding items still exist on the account.
Should a canceled member decide to apply for membership again, the full initiation fee will be required upon activation. If an individual requests to rejoin the House within 18 months of cancelling their original membership, the initiation fees are subject to a higher rate.
Manager may suspend or terminate the membership of Member for breach of this Agreement or for significant or repeated violation of the Common Law in Manager's sole discretion in consultation with the members.
Photography: Common House is a space where photography, audio, and video recording may occur. By entering the premises, you consent to photography, audio recording and video recording to be used for internal albums, news, promotional purposes, advertising, inclusion on websites, social media, or any other purpose by Common House, and waive the right to make claims for payment or royalties in connection with any use of these materials.
Release of Liability: By accepting membership at Common House, the member and guests assume all risk of injury or harm that occurs on any property owned or operated by Common House, and agree to hold Common House harmless from any liability for damage or claims for damage for personal injury, including death.
